1. Agreement to Terms

By accessing or using the website webyourvyavsay.com (the "Site") and any services, software, or products offered by Web Your Vyavsay ("Company", "we", "us", or "our"), including but not limited to ParaLoom and Real Estate CRM (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Services.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and the Company. We reserve the right to modify these Terms at any time. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.

2. Description of Services

Web Your Vyavsay provides technology services including but not limited to:

• Custom Software Development — Bespoke web and mobile application development
• ParaLoom — An AI-powered content platform offering text humanization, AI detection, grammar checking, paraphrasing, plagiarism detection, content writing, and content optimization
• Real Estate CRM — A customer relationship management platform for real estate businesses with contact management, lead scoring, sales pipeline, WhatsApp and email campaigns, workflow automation, and property management
• Digital Marketing, DevOps, CMS Development, and other technology consulting services as listed on the Site

The availability of specific features may vary based on your subscription plan. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

3. Eligibility

To use our Services, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal authority to enter into a binding agreement
• Not be prohibited from using the Services under applicable law

Payments are processed securely through Razorpay. By subscribing, you authorize us to charge the applicable subscription fee to your chosen payment method on a recurring basis (monthly or yearly, as selected). All fees are non-refundable unless otherwise stated.

5.3 Free Plans

Free plans are provided with limited functionality and usage quotas. We reserve the right to modify or discontinue free plans at any time.

6. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Transmit malware, viruses, or any code of a destructive nature
• Attempt to gain unauthorized access to other systems or networks
• Send unsolicited spam, phishing, or bulk communications
• Use AI tools to generate content that is defamatory, fraudulent, or intentionally misleading
• Reverse engineer, decompile, or disassemble any part of the Services
• Use automated scripts to scrape, collect, or extract data from the Services
• Circumvent usage limits, rate limits, or access controls
• Resell or redistribute the Services without written authorization

7. Intellectual Property

7.1 Our Intellectual Property

The Services, including all content, features, functionality, software, code, design, trademarks, and logos are owned by Web Your Vyavsay and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property.

7.2 Your Content

You retain ownership of any content you submit, upload, or create using our Services ("User Content"). By using our Services, you grant us a limited, non-exclusive, royalty-free license to process your User Content solely for the purpose of providing the Services to you.

7.3 Custom Development

For custom software development projects, intellectual property ownership and licensing terms are defined in the specific project agreement between the parties.

8. AI-Generated Content Disclaimer

Our AI-powered tools (including ParaLoom's humanization, detection, writing, and optimization features) generate output based on machine learning models. You acknowledge that:

• AI-generated content may not always be accurate, complete, or free of errors
• You are solely responsible for reviewing, editing, and verifying all AI-generated output before use
• We do not guarantee that AI-humanized content will bypass any specific detection system
• AI detection results are probabilistic and should not be relied upon as definitive
• You are responsible for ensuring your use of AI-generated content complies with applicable laws, academic integrity policies, and third-party terms

9. API Usage

If your plan includes API access, the following additional terms apply:

• API keys are confidential and must not be shared publicly or embedded in client-side code
• API usage is subject to the rate limits and quotas of your subscription plan
• We may revoke API access if usage violates these Terms or disrupts our infrastructure
• API responses must not be cached or redistributed beyond reasonable application use

10. Data Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Services, you consent to the practices described in the Privacy Policy.

11. Service Availability and Uptime

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Unscheduled downtime due to technical issues or force majeure events
• Third-party service disruptions (cloud providers, payment processors, AI APIs)

12. Limitation of Liability

14. Termination

Either party may terminate the agreement:

• By you: You may stop using the Services and cancel your subscription at any time through your account settings or by contacting us
• By us: We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or engage in conduct that harms other users or our infrastructure

Upon termination, your right to use the Services ceases immediately. We may retain your data for a reasonable period as required by law or for legitimate business purposes.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Surat, Gujarat, India.

Before initiating any legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days.

16. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and the Company
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction
• Force Majeure: We shall not be liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, war, government actions, or internet disruptions
